Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of Prix, the developer platform for AI agents operated by Phoenix Horizon, Inc. ("Phoenix," "we," "us," or "our"), including the prix.dev website, the api.prix.dev API, the agent registry, the LLM proxy, and the Rush command-line interface ("rush" CLI).

By accessing or using Prix, you agree to be bound by these Terms. If you do not agree, do not use Prix. If you are using Prix on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.

2. Description of Services

Prix offers developers the following:

  • Agent registry — publish, version, sign, and distribute AI agent containers.
  • LLM proxy — a unified API that routes requests to upstream language model providers (Anthropic, OpenAI, and others) with usage tracking, spend limits, and rate limiting.
  • API and SDKs — HTTP endpoints and therushCLI to manage developer accounts, organisations, agent containers, keys, and billing.
  • Hosted runtime (where applicable) — agent execution against your connected services using OAuth tokens you authorise.

3. Developer Account and Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction, whichever is greater) to create a Prix account. You are responsible for the accuracy of the registration information you provide and for maintaining the confidentiality of your account credentials and API keys.

You must immediately notify us at [email protected] if you believe your account or API key has been compromised. You are responsible for all activity that occurs under your account or API key, except to the extent caused by our wilful misconduct.

4. Acceptable Use

You may not use Prix to:

  • Engage in any activity that violates applicable laws.
  • Build, distribute, or operate agents that commit fraud, theft, financial crimes, or facilitate money laundering or terrorist financing.
  • Generate, distribute, or promote child sexual abuse material (CSAM); pornographic or sexually explicit content; weapons, explosives, or dangerous materials; or content that promotes violence, terrorism, or hatred.
  • Create malware, viruses, or other malicious code.
  • Harass, stalk, threaten, impersonate, or send unsolicited messages via connected platforms.
  • Attempt to bypass, disable, or circumvent safety measures, content filters, security controls, rate limits, spend limits, or authentication boundaries (including prompt injection or adversarial prompting against the platform itself).
  • Access or attempt to access other developers' accounts, organisations, agents, API keys, or data.
  • Reverse engineer, decompile, or extract our proprietary systems, except to the extent expressly permitted by applicable law.
  • Conduct unauthorised security testing or penetration testing against api.prix.dev or our infrastructure. See our Security Policy for the coordinated disclosure process.
  • Make fully autonomous decisions in legal, medical, or financial domains without human review.
  • Interfere with elections, voting, or democratic processes; or generate synthetic media (deepfakes) for deception or fraud.
  • Resell, sublicense, or rebrand Prix as your own service without a written reseller agreement with Phoenix.

5. Prohibited Data Categories

Prix is not designed for, and you may not submit, transmit, store, or process through Prix:

  • Protected Health Information (PHI) regulated under the U.S. Health Insurance Portability and Accountability Act (HIPAA). Phoenix is not a HIPAA-covered Business Associate and we do not sign Business Associate Agreements at this time.
  • Cardholder data subject to PCI-DSS beyond what Stripe processes on our behalf as a tokenized payment method.
  • Government identification numbers (Social Security Number, passport, driver's licence, national ID).
  • Biometric identifiers (fingerprints, facial templates, voice prints), genetic data, or other special-category personal data under GDPR Article 9 or applicable U.S. state law.
  • Classified, export-controlled, or other government-restricted information.

Submission of prohibited data categories is a material breach of these Terms and may result in immediate suspension or termination of your account, without refund of pre-paid fees.

6. Container Signing and Distribution

When you publish an agent container to the Prix registry, we sign the container with our Ed25519 platform key before distribution. Clients verify the signature on install. By publishing, you represent that:

  • You have the right to distribute the container and its contents.
  • The container does not contain malware, exfiltration logic, or functionality that violates Section 4.
  • Any third-party code in the container is properly licensed and attributed.

We may remove a container from the registry at any time if we believe it violates these Terms or applicable law. Removal invalidates the signature for new installs but does not retract installs already in the field.

7. API Usage and Rate Limits

We enforce rate limits and spend limits per account and per API key to protect the platform and other developers. Limits are documented in our developer documentation and may change with reasonable notice.

You are responsible for monitoring your own usage. We are not liable for charges incurred due to runaway loops, misconfigured agents, or compromised credentials.

8. Payment and Billing

Certain Prix features require payment. By subscribing to paid services, you agree to pay all applicable fees in advance or as incurred. Usage-based charges (LLM tokens, container downloads, storage) are billed based on actual consumption.

Fees are non-refundable except as required by law. We may change pricing with at least 30 days' notice for subscription tiers and at least 7 days' notice for usage-based pricing. Continued use after the effective date constitutes acceptance.

9. Intellectual Property

Your content. You retain ownership of agents, configurations, prompts, and other content you create on Prix. By publishing an agent to the public registry, you grant Phoenix and end users a worldwide, royalty-free licence to download, install, and execute that agent for the purposes you describe.

Our services. Phoenix and its licensors retain all rights in the Prix platform, including the API, registry, signing infrastructure, documentation, and brand assets.

Feedback. Any feedback or suggestions you provide may be used by Phoenix without obligation to you.

10. Third-Party Services and Models

When you use the LLM proxy, your prompts are forwarded to the upstream provider you specify (Anthropic, OpenAI, OpenRouter, and others). We enforce zero-data-retention with each provider where available. Your use of those providers' outputs is also governed by their terms.

When agents you build connect to third-party services via OAuth, you and your end users are responsible for compliance with those services' terms.

11. Termination

You may stop using Prix at any time. We may suspend or terminate your access for breach of these Terms, non-payment, or to comply with legal process. Where practical we will give notice and an opportunity to cure non-payment.

Upon termination, your right to use Prix ceases. We will retain billing records as required by tax law and audit logs as required by our compliance commitments. See our Privacy Policy for retention details.

12. Disclaimer of Warranties

Prix is provided "as is" and "as available" without warranties of any kind, either express or implied. We do not warrant that Prix will be uninterrupted, error-free, or secure, or that any AI-generated content will be accurate, reliable, or complete.

13. Limitation of Liability

To the maximum extent permitted by law, Phoenix and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of Prix, including lost profits, lost data, or business interruption.

Our total aggregate liability under these Terms shall not exceed the greater of $100 or the amounts you paid Phoenix in the twelve months preceding the claim.

14. Indemnification

You agree to indemnify and hold harmless Phoenix from any claim, loss, or expense (including reasonable attorneys' fees) arising from your use of Prix, your violation of these Terms, your violation of any third-party rights, content you publish to the registry, or actions taken by agents you build.

15. Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Disputes shall be resolved through binding arbitration administered by the American Arbitration Association, except that either party may seek injunctive relief in any court of competent jurisdiction. Class actions and class arbitrations are not permitted.

16. Changes to Terms

We may modify these Terms at any time. Material changes will be announced on this page and, for paid customers, by email at least 30 days before the effective date. Continued use after changes become effective constitutes acceptance.
